⚠️ Important Notice: By accessing or using the Circuit API service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2.1. You must provide accurate and complete information when registering for an API Key. You are responsible for maintaining the confidentiality of your API Key and for all activities conducted under it.
2.2. You may not share, transfer, or resell your API Key to any third party. Each API Key is for the named user or organization only.
2.3. We reserve the right to suspend or terminate any API Key at our sole discretion, including but not limited to violations of these Terms, suspected fraudulent activity, or abusive usage patterns.
3.1. The Service is provided on a subscription basis, subject to rate limits, quota limits, and other restrictions as described in your plan.

4.2. We reserve the right to review, flag, and block any Content submitted through the Service that we reasonably believe violates these Terms. We may report illegal activity to appropriate law enforcement authorities.
5.1. You acknowledge that Content generated by AI models may be inaccurate, incomplete, biased, or otherwise unreliable. You are solely responsible for verifying and validating all AI-generated Content before relying on or distributing it.
5.2. If you publicly distribute AI-generated Content, you must clearly label it as AI-generated in a manner reasonably visible to recipients.
6.1. Fees are billed monthly or as otherwise agreed. All fees are in US Dollars (USD).
6.2. Overage beyond included tokens is charged at the rate specified in your plan. You are responsible for monitoring your usage and setting spending limits.
6.3. Refunds are provided at our discretion. Generally, prepaid subscription fees are non-refundable unless the Service is materially unavailable for an extended period.
7.1. You retain all rights to Content you submit to the Service. We do not claim ownership of your Input.
7.2. We do not claim ownership of Output generated by the Service. However, you acknowledge that AI-generated Output may not be copyrightable and may be similar or identical to Output generated for other users.
7.3. The Service, its infrastructure, branding, and documentation are protected by copyright and other intellectual property laws.
7.4. All AI model names and trademarks referenced in the Service belong to their respective owners.
8.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.
8.2. We do not warrant that the Service will be uninterrupted, error-free, or secure. Service availability may be affected by maintenance, third-party provider outages, or events beyond our control.
8.3. You acknowledge that AI model availability, performance, and pricing may change at any time as they are dependent on third-party providers.
9.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXCIRCUIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
9.2. Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
9.3. This limitation applies whether the claim is based on contract, tort (including negligence), statute, or any other legal theory.
You agree to indemnify, defend, and hold harmless NexCircuit LLC, its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) Content you submit or generate; or (d) your violation of any third-party rights or applicable laws.
11.1. You may stop using the Service at any time. Subscription fees for the current billing period are non-refundable.
11.2. We may suspend or terminate your access to the Service immediately, without prior notice, for any violation of these Terms, our Acceptable Use Policy, or applicable law.
11.3. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.
12.1. These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
12.2. Any dispute arising from these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.
12.3. You agree to resolve disputes on an individual basis. Class actions, class arbitrations, and representative actions are waived.
13.1. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States embargo or sanctions.
13.2. You agree to comply with all applicable export control laws and regulations, including those of the United States, in your use of the Service.
14.1. We may modify these Terms at any time. We will notify you of material changes via email or through the Service dashboard.
14.2. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.
